2. Back-to-Back Delivery Protection Rules

• Hard Not-to-Exceed (NTE) Subcontractor Cap ($5,200): Subcontractor compensation is fixed to deliverable completion ($5,200 total across 80 estimated hours at $65/hr) rather than open-ended hourly timesheets.
• Back-to-Back UAT Release Gate ($1,560 Final Tranche): The final 30% contractor tranche ($1,560) releases strictly upon End-Client UAT acceptance or expiration of the 5-business-day review window.
• Zero Unapproved Scope Creep: Subcontractor may not execute out-of-scope requests without a signed Agency Change Order; any client-approved Change Order shares margin proportionally.
• White-Label Non-Solicitation & Immediate IP Assignment: All source code, JSON workflows, and documentation vest immediately as Work-Made-for-Hire upon milestone delivery with strict 24-month end-client non-solicitation.

1. Fixed-Deliverable Compensation & Not-to-Exceed Cap:
Subcontractor agrees to deliver the scoped technical milestones for a fixed, Not-to-Exceed (NTE) total fee of $5,200, disbursed strictly upon verified completion of the following three gates:
- Milestone 1 (30% — $1,560): Architecture, repository setup, and core data model verified on staging.
- Milestone 2 (40% — $2,080): Feature-complete implementation passing automated test & strict markup checks.
- Milestone 3 (30% — $1,560): Final production handoff and End-Client User Acceptance Testing (UAT) sign-off.

2. Change-Order Gate (No Unapproved Hourly Overruns):
Hours worked in excess of 80 hours without a prior written Agency Change Order are non-billable. If the End-Client requests out-of-scope enhancements, Subcontractor will notify Agency immediately so Agency can issue a paid Client Change Order before work begins.

3. 14-Day Defect Warranty & White-Label Confidentiality:
Subcontractor will remediate any reproducible defect against the Statement of Work at $0 additional cost during the 14-day post-delivery UAT/warranty window. Subcontractor operates strictly under Agency white-label representation and shall not solicit or contract directly with the End-Client for 24 months.
